Terms of Use

Welcome to Kissa Shuru Talkies (“KST”). We are a rural cinema distribution platform that brings DRM-protected Marathi films directly to villages across Maharashtra, India, through a pay-per-view model delivered via the KST Stick — a dedicated Android-based media device. These Terms of Use (“Terms”) constitute a legally binding agreement between you (“End User”, “Village Partner”, or “Producer”) and Kissa Shuru Talkies LLP (“KST”, “We”, “Us”, or “Our”), a Limited Liability Partnership registered in Maharashtra, India.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE KST PLATFORM, KST STICK, OR ANY ASSOCIATED SERVICES. BY ACCESSING OR USING OUR SERVICES — INCLUDING DOWNLOADING THE KST APP, ACTIVATING A KST STICK, REGISTERING AS A VILLAGE PARTNER, OR SUBMITTING CONTENT AS A PRODUCER — YOU EXPRESSLY ACCEPT THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE OUR SERVICES.
1.
Definitions

The following terms shall have the meanings ascribed below throughout these Terms:

  • “KST” or “Platform” means the Kissa Shuru Talkies service, including the website (www.kissa.in), the KST App, the KST Stick device, and all associated systems and features.
  • “KST Stick” means the proprietary Android TV Stick device (based on the Allwinner H313 SoC) manufactured and distributed by KST or its authorised hardware partners, pre-loaded with the KST application and DRM firmware.
  • “KST App” means the Android application installed on the KST Stick (or other compatible devices) that enables End Users to browse, purchase, and watch Content.
  • “Content” means any audio-visual material, films, short films, series, trailers, promotional material, or other entertainment content made available on the KST Platform by Producers.
  • “Pay-Per-View” or “PPV” means the transactional video-on-demand model under which End Users pay a fixed per-title fee to access specific Content for a defined watch period.
  • “Village Partner” or “VP” means an individual or entity who has entered into a Village Partner Agreement with KST and is authorised to deploy the KST Stick for collective or household viewership within a designated village or locality in Maharashtra.
  • “Producer” means a content owner, film producer, studio, or rights holder who has entered into a Producer Agreement with KST for distribution of their Content on the Platform.
  • “DRM” means Digital Rights Management technology used by KST to protect Content from unauthorised copying, recording, or redistribution.
  • “GPS Data” means geographic location information collected by the KST Stick or KST App via hardware or network-based location services.
  • “Producer Video Call” means the optional live video call feature available within the KST App that allows End Users or Village Partners to connect directly with a Producer or their representative, billed on a per-minute credit basis.
  • “Family Safe Mode” means a content-filtering mode within the KST App that restricts playback to content classified as suitable for all age groups.
  • “Dongle” means the KST Stick device in its physical hardware form, as deployed by Village Partners or purchased outright by End Users.
  • “Watch Period” means the duration within which an End User may view purchased PPV Content after payment is completed.
2.
Eligibility
  • 2.1 The KST Platform is available to individuals who have attained the age of 18 years or older. Minors may access the Platform only with the express authorisation of a parent or legal guardian, who shall be bound by these Terms on behalf of the minor.
  • 2.2 Village Partner registration is restricted to adults who are residents of, or who operate within, Maharashtra, India, and who have entered into a valid Village Partner Agreement with KST. Corporate entities must be validly incorporated under applicable Indian law.
  • 2.3 Producer registration is restricted to rights holders or their duly authorised representatives who have executed a Producer Agreement with KST.
  • 2.4 By using the KST Platform you represent and warrant that you meet the eligibility criteria applicable to your user category.
3.
Pay-Per-View (PPV) Service
3.1 What is the KST PPV Service?

KST delivers Marathi films and regional entertainment Content to villages and households in Maharashtra on a pay-per-view basis. Each title is priced at ₹99 (or such other amount as KST may determine from time to time). There is no monthly subscription required. End Users pay only for Content they wish to watch.

3.2 How to Purchase and Watch Content
  • Browse available titles on the KST App via the KST Stick or compatible device.
  • Select a title and tap “Watch Now” or “Buy” to initiate the PPV transaction.
  • Complete payment using a supported payment method (see Section 8).
  • Upon successful payment, the Content will be available for streaming within the Watch Period.
3.3 Watch Period and Validity
  • Pack Validity: Once purchased, you must begin watching the Content within 4 hours of the transaction.
  • Watch Time Validity: Once playback has begun, you may watch the Content for up to 4 hours. You may pause and resume within this 4-hour watch window.
  • After the Watch Period expires, the Content will no longer be accessible. No extensions or carryforward of unused watch time will be granted.
  • Watch Time Validity is tracked by KST’s server-side duration counter, which begins from the moment playback is initiated and counts actual elapsed time.
3.4 Device Limitations
  • PPV Content may be streamed on 1 registered KST device per transaction only. Simultaneous or alternate-device viewing is not permitted under a single PPV purchase.
  • The KST Stick supports HD or Full HD streaming depending on DRM Widevine certification level (L1 or L3) of the device hardware. See Section 7 for device quality tiers.
  • PPV Content is not available for download or offline viewing (except where specifically enabled by KST for designated Village Partner use cases under a separate agreement).
3.5 Non-Refundable Transactions

All PPV transactions are final. Payments are non-refundable, non-transferable, and cannot be exchanged for credits or applied to future purchases, except as expressly provided in Section 8.4 (Exceptional Refunds).

3.6 Recording Prohibition

Recording, screen-capturing, transmitting, or redistributing any PPV Content in any form — whether via camcorder, screen-recording software, ADB capture, HDMI capture, or any other method — is strictly prohibited and constitutes a criminal offence under the Cinematograph Act, 1952 (as amended), the Copyright Act, 1957, and the Information Technology Act, 2000. KST reserves the right to pursue civil and criminal action against any person found engaging in such activity. The KST Platform employs active anti-camcording technology and watermarking to detect and trace unauthorised recording.

4.
Village Partner Program
4.1 Becoming a Village Partner

Any eligible adult resident of Maharashtra may apply to become a Village Partner by completing the registration process on the KST Platform and executing the Village Partner Agreement. Acceptance is at KST’s sole discretion.

4.2 KST Stick Ownership and Deployment
  • The KST Stick is sold outright to Village Partners at the price prevailing at the time of purchase. Title to the physical device passes to the Village Partner upon payment.
  • The KST Stick software, firmware, DRM keys, content licenses, and all associated intellectual property remain the sole property of KST or its licensors.
  • Village Partners are authorised to deploy the KST Stick for use within their designated locality only.
  • Village Partners may not sell, sublicense, reverse-engineer, tamper with, root, or modify the KST Stick’s software or firmware in any manner.
4.3 Village Partner Earnings and Payouts
  • Village Partners earn a commission on each PPV purchase made through their deployed KST Stick, as specified in the Village Partner Agreement.
  • Earnings are credited to the Village Partner’s KST wallet or bank account as per the payout schedule in the Village Partner Agreement.
  • KST reserves the right to withhold payouts pending investigation of any suspected fraud or misuse.
4.4 Village Partner Obligations
  • Village Partners must ensure that the KST Stick is used only for lawful purposes and only within the territory specified in their Village Partner Agreement.
  • Village Partners are responsible for the physical security of the KST Stick deployed in their care.
  • Village Partners must not share their KST login credentials with third parties.
  • Village Partners must promptly report any device malfunction, theft, or misuse to KST.
  • Village Partners must cooperate with KST’s remote device management operations, including OTA software updates, remote device diagnostics, and location verification.
4.5 Termination of Village Partnership

KST may terminate a Village Partner’s account for breach of the Village Partner Agreement or these Terms, with or without notice. Upon termination, the Village Partner must cease using the KST App on the affected Stick and cooperate with any device retrieval process as specified in the Village Partner Agreement.

5.
Producer / Content Partner Terms
5.1 Content Submission

Producers who have executed a Producer Agreement with KST may submit Content for distribution on the Platform. Content must comply with the content standards set out in Section 11 and all applicable laws, including the Cinematograph Act, 1952, the Cable Television Networks (Regulation) Act, 1995, and guidelines issued by the Ministry of Information and Broadcasting.

5.2 Licensing
  • Producers grant KST a non-exclusive, limited, royalty-bearing license to stream, encode, DRM-protect, and distribute Content to End Users via the Platform, as specified in the Producer Agreement.
  • Producers warrant that they hold all necessary rights, clearances, and licenses for the Content submitted, including music rights, performance rights, and any third-party rights.
5.3 Revenue Share

Producers receive revenue share from PPV transactions as specified in the Producer Agreement. KST will provide periodic revenue reports via the Producer dashboard.

5.4 Content Removal

KST reserves the right to remove or restrict Content at any time without notice if it determines, in its sole discretion, that the Content violates applicable law, these Terms, or KST’s content standards, or if ordered to do so by a court or government authority.

5.5 Producer Video Call Feature

Producers may opt into the Producer Video Call feature, which enables End Users or Village Partners to initiate a live video call with the Producer or their designated representative. The following terms apply:

  • Producers must designate available time slots and a verified contact for video calls within the Producer dashboard.
  • Video call availability is subject to Producer consent and may be withdrawn at any time.
  • Charges to the End User for video calls are deducted from their KST credit balance on a per-minute basis, at rates published on the Platform.
  • KST acts solely as a technology intermediary for video calls and is not responsible for the content of conversations between Producers and End Users.
  • Producers may not solicit payments, personal information, or any commercial arrangements from End Users outside the KST Platform during or after a video call.
  • KST reserves the right to monitor, record (with notice), and review video call sessions for quality and compliance purposes.
6.
KST Stick & Device Terms
6.1 Activation and Registration

Each KST Stick must be activated and registered on the KST Platform before use. Activation links the Stick to a specific Village Partner or End User account. Activation of a stolen, cloned, or tampered device is prohibited.

6.2 Remote Device Management

By activating and using the KST Stick, you acknowledge and consent to KST’s ability to:

  • Push over-the-air (OTA) software and firmware updates to the device remotely and automatically.
  • Remotely configure, enable, or disable features on the device, including content playback and network settings.
  • Execute remote commands for diagnostics, device health checks, and compliance verification.
  • Remotely deactivate or lock the KST Stick in the event of suspected misuse, non-payment, or breach of these Terms.
6.3 Streaming Quality
  • The KST Stick supports Widevine L1 hardware-level DRM certification only, enabling HD and Full HD (1080p) streaming for supported Content.
  • KST does not support Widevine L3 (software-level) DRM. Devices that do not meet the L1 hardware certification standard are not compatible with the KST Platform.
  • Streaming quality may further vary based on available internet bandwidth and network conditions at the deployment location.
6.4 Offline Watch Time — Duration-Based Tracking

The KST Platform does not rely on a real-time clock (RTC) for offline DRM validation. Instead, KST uses a server-synced duration counter to track the elapsed watch time of each PPV purchase. This means:

  • When the KST Stick is online, elapsed watch time is continuously reported to KST’s servers and reconciled against your purchased Watch Period.
  • When the KST Stick temporarily loses internet connectivity, the device continues to track and accumulate watch duration locally. This elapsed time is reported and validated against your Watch Period when connectivity is restored.
  • The Watch Period is governed strictly by actual elapsed playback duration, not by wall-clock time or device system time.
  • Any attempt to manipulate, reset, pause, or falsify the duration counter — including by disconnecting the device from the internet, clearing app data, or using developer tools — is strictly prohibited and will result in immediate account suspension and potential legal action.

6.5 Prohibited Device Modifications

The following actions are strictly prohibited and will void any warranty and result in immediate account termination:

  • Rooting, jailbreaking, or otherwise gaining unauthorised superuser access to the KST Stick.
  • Installing unofficial or third-party ROMs, firmware, or software that is not authorised by KST.
  • Bypassing, removing, or circumventing DRM protections, content encryption, or access control mechanisms.
  • Physically disassembling or modifying the hardware of the KST Stick.
  • Using ADB (Android Debug Bridge) or similar developer tools to access, extract, or manipulate content, license keys, or device data.
7.
GPS Location and Device Data Collection
7.1 Location Data — QR Code Phone Scan

KST collects location data from the mobile phone of the End User or Village Partner at the time of KST Stick activation or session initiation. Location is captured through the following mechanism:

  • When the KST Stick boots or starts a new session, a QR code is displayed on the connected TV screen.
  • The End User or Village Partner scans this QR code using their mobile phone via the KST app or designated URL.
  • Upon scanning, the mobile phone’s GPS or network-based location (with the device owner’s permission) is transmitted to KST’s servers and associated with the active session and device.

By activating a KST Stick or scanning the QR code on behalf of an End User, you expressly consent to this location collection. Location data is used for the following purposes:

  • Verifying that the KST Stick is being operated within the territory designated in the Village Partner Agreement.
  • Fraud detection and prevention (e.g., detecting a device operating outside its registered village or district).
  • Compliance with geographic content licensing restrictions.
  • Service analytics and rural deployment mapping to improve the KST Platform.
  • Regulatory reporting to government authorities where required by law.
7.2 Data Retention and Access
  • GPS data is transmitted to KST’s secure servers over an encrypted connection. Data is retained in accordance with KST’s Privacy Policy (available at www.kissa.in/privacy).
  • Location data is not sold to third parties. It may be shared with government authorities if required by law or court order.
  • Village Partners and End Users may request a summary of location data collected from their registered device by writing to support@kissashurutalkies.com.
7.3 Other Device Data Collected

In addition to GPS data, KST collects the following device telemetry from the KST Stick:

  • Device identifier (Device ID / MAC address) for account linkage and anti-piracy enforcement.
  • App usage logs, playback events, error logs, and crash reports for service improvement.
  • Network connectivity status and IP address for access management.
  • DRM license status and expiry timestamps.

All device data collection is governed by KST’s Privacy Policy.

8.
Payment, Refunds, and Cancellation
8.1 Supported Payment Methods

KST accepts payments via the following methods, processed through Razorpay or such other payment gateway as KST may designate:

  • UPI (Unified Payments Interface)
  • Debit Card and Credit Card (Visa, Mastercard, RuPay)
  • Net Banking
  • Digital Wallets (Paytm, PhonePe, and others supported by the payment gateway)
  • Cash collection by Village Partner (where enabled under the Village Partner Agreement)
8.2 Transaction Security

KST does not store your full payment card details. Transactions are processed by PCI-DSS compliant payment gateways. KST is not liable for any fraud or unauthorised transactions arising from misuse of your payment credentials. You are responsible for the security of your payment instruments.

8.3 General No-Refund Policy

All PPV transactions on KST are non-refundable once the Watch Period has commenced or once the 48-hour pack validity window has begun. Payments cannot be transferred, exchanged, or carried forward.

8.4 Exceptional Refunds

KST may, at its sole discretion, consider a refund or credit in the following circumstances:

  • Technical Failure: If Content is completely unavailable for streaming due to a verified technical fault on KST’s platform (not attributable to your internet connection or device) and playback was never initiated, you may raise a refund request within 24 hours of the transaction.
  • Duplicate Transaction: If your payment gateway records confirm that you were charged more than once for the same PPV title in the same session, KST will refund the duplicate charge.
  • Content Removed Post-Purchase: If KST removes Content from the Platform for legal or regulatory reasons after your purchase but before you have completed your Watch Period, KST will issue a credit equivalent to the purchase price.

Refund requests must be submitted to support@kissashurutalkies.com with your registered mobile number, transaction ID, and a description of the issue. KST will respond within 7 business days. Approved refunds will be processed to the original payment method within 10 business days.

8.5 Village Partner Payout Disputes

Disputes regarding Village Partner payouts must be raised within 30 days of the payout date. KST will investigate and resolve payout disputes within 15 business days.

9.
Registration and User Accounts
  • 9.1 You may register as an End User using your mobile number (OTP-based). During registration, you must provide accurate, complete, and current information.
  • 9.2 You are solely responsible for maintaining the confidentiality of your account credentials (mobile number, OTP, and any PIN you set). You agree to immediately notify KST if you become aware of any unauthorised use of your account.
  • 9.3 KST reserves the right to suspend or terminate your account without notice if it determines that your account information is inaccurate or that your account has been used in breach of these Terms.
  • 9.4 You agree to receive transactional communications from KST via SMS, WhatsApp, and email. WhatsApp notifications may be opted out of by visiting your profile settings within the KST App.
10.
Producer Video Call Feature
10.1 Overview

KST’s Producer Video Call feature is an optional, credit-based live video interaction service available within the KST App. It enables End Users or Village Partners to connect with Producers or their authorised representatives for Q&A sessions, fan interactions, promotional events, or other pre-approved use cases.

10.2 End User Terms for Video Calls
  • You must have sufficient KST credits in your account to initiate a video call. Credits are purchased through the KST App using supported payment methods.
  • Charges are deducted from your credit balance at the per-minute rate published on the Platform. A minimum balance may be required before connecting.
  • Once a video call session ends, the credits consumed are non-refundable, regardless of call quality, unless a verified technical failure on KST’s platform caused the call to drop within 30 seconds of connecting.
  • You must not record video calls, whether through the KST App’s interface or external software. Such recording is a breach of these Terms and may constitute an infringement of privacy rights.
  • You must conduct yourself respectfully during video calls. KST reserves the right to terminate any call and suspend your account if you engage in abusive, threatening, or harassing behaviour.
10.3 Credit Purchase and Expiry
  • KST credits are purchased in bundles as specified on the Platform. Credits do not expire for a period of 12 months from the date of purchase, after which unused credits may be forfeited.
  • Credits are non-transferable and cannot be exchanged for cash.
  • Unused credits are forfeited if your account is terminated due to a breach of these Terms.
11.
Family Safe Mode
  • 11.1 The KST App includes a Family Safe Mode that, when enabled, restricts Content playback to titles rated as suitable for all audiences (U or UA certification under CBFC guidelines, or equivalent KST classification).
  • 11.2 Family Safe Mode is controlled directly from the KST remote control, which includes a dedicated “Family Safe” key. Users can toggle Family Safe Mode ON or OFF at any time — including while a movie is actively playing — by pressing this key. The mode change takes effect immediately.
  • 11.3 There is no PIN or password required to toggle Family Safe Mode via the remote key. It is the responsibility of the account holder and Village Partner to ensure the remote control is not accessible to minors if Family Safe Mode is to remain enabled.
  • 11.4 While KST endeavours to accurately classify Content, it does not guarantee that all content shown under Family Safe Mode will be suitable for every viewer. Parents and guardians remain responsible for supervising children’s use of the Platform.
12.
Content Standards and Complaints
12.1 Prohibited Content

KST prohibits the hosting or distribution of Content that:

  • Is obscene, pornographic, or sexually explicit.
  • Depicts or glorifies violence, gore, or cruelty to humans or animals.
  • Promotes hatred, discrimination, or violence against any person or group on the basis of religion, caste, community, gender, or ethnicity.
  • Infringes the intellectual property rights of any third party.
  • Contains material that is defamatory, libellous, or invasive of any person’s privacy.
  • Promotes illegal activities, including drug use, gambling, or terrorism.
  • Violates any provision of the Cinematograph Act, 1952, the Cable Television Networks (Regulation) Act, 1995, or guidelines issued by CBFC or MIB.
  • Contains personal data of individuals without their express consent.
12.2 Content Complaints

If you believe that any Content on the KST Platform is unlawful, harmful, or violates these Terms, you may file a complaint by:

  • Writing to KST’s Grievance Officer at: grievance@kissashurutalkies.com
  • Providing your name, registered mobile number, the title and description of the objectionable Content, and the nature of your complaint.

KST will acknowledge your complaint within 24 hours and endeavour to resolve it within 15 business days, in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

13.
DRM Protection and Anti-Piracy
13.1

All Content on the KST Platform is protected by Google Widevine L1 DRM encryption. You acknowledge and agree that you will not attempt to bypass, remove, or circumvent any DRM protection, access control measure, geo-restriction, or encryption associated with any Content.

13.2 TPMV Forensic Watermarking

KST employs TPMV (Transparent Perceptual Multi-Vector) forensic watermarking technology on every stream delivered through the Platform. You should be aware of the following:

  • Every PPV stream is invisibly and uniquely watermarked at the time of delivery with information that identifies your account, your registered device, your Village Partner location, the date and time of playback, and your geographic location at the time of viewing.
  • This watermark is embedded within the video signal itself — it is not a visible overlay and cannot be removed by screen recording, re-encoding, colour-grading, cropping, or any other post-processing method.
  • If you record KST Content using any device — including a mobile phone camera pointed at the screen — the TPMV watermark is preserved in the recorded footage.
  • If any such recording is uploaded to any online platform (including YouTube, Instagram, WhatsApp, Telegram, any torrent site, or any other sharing service), KST’s automated scanning systems will detect the watermark and trace the leak back to your specific account and device.
  • Upon detection of a leaked recording, KST will: (a) immediately and permanently terminate your account and all associated accounts; (b) blacklist your device from the KST Platform; and (c) initiate civil and criminal legal proceedings against you.
  • You may be held liable under the Cinematograph Act, 1952 (as amended by the Cinematograph (Amendment) Act, 2023), which provides for imprisonment of up to 3 years and a fine of up to ₹10 lakh for unauthorised recording or exhibition of a film, in addition to claims for damages under the Copyright Act, 1957 and the Information Technology Act, 2000.
WARNING: RECORDING KST CONTENT ON ANY DEVICE AND SHARING IT ONLINE WILL RESULT IN YOUR AUTOMATIC IDENTIFICATION, LEGAL ACTION, AND PROSECUTION. THE TPMV WATERMARK CANNOT BE REMOVED AND WILL SURVIVE RE-ENCODING, COMPRESSION, AND CROPPING. THERE IS NO ANONYMOUS WAY TO LEAK KST CONTENT.
13.3

Any attempt to extract, decrypt, or redistribute DRM-protected Content constitutes an offence under the Information Technology Act, 2000 and the Copyright Act, 1957, and may be subject to criminal prosecution in addition to civil remedies.

14.
Intellectual Property and Ownership
  • 14.1 The KST Platform, KST App, KST Stick firmware, the “Kissa Shuru Talkies” name and logo, and all associated marks, software, and technology are the exclusive intellectual property of Kissa Shuru Talkies LLP or its licensors, protected under Indian and international intellectual property law.
  • 14.2 You may not reproduce, duplicate, copy, download, capture, archive, publish, broadcast, sell, resell, modify, translate, decompile, disassemble, or reverse-engineer any part of the KST Platform or Content.
  • 14.3 Producers retain ownership of their Content subject to the license granted to KST under the Producer Agreement. KST does not claim ownership of Producer Content.
  • 14.4 Any feedback, suggestions, or ideas you submit to KST regarding the Platform shall become the sole and exclusive property of KST, and KST shall be free to use such feedback without any obligation or compensation to you.
15.
User Restrictions

In addition to restrictions stated elsewhere in these Terms, you agree not to:

  • Use the KST Platform for any commercial purpose without KST’s prior written consent.
  • Share your PPV purchase or account access with persons outside your household (End Users) or outside your designated territory (Village Partners).
  • Use automated tools, bots, scrapers, or scripts to access or interact with the KST Platform.
  • Attempt to probe, scan, or test the security of the KST Platform or KST’s network infrastructure.
  • Engage in any activity that places an unreasonable load on KST’s servers or infrastructure.
  • Misrepresent your identity, village, or territory when registering as a Village Partner.
  • Use the Platform to transmit spam, junk mail, or unsolicited promotional communications.
  • Impersonate KST, any Producer, Village Partner, or other user.
16.
Termination
  • 16.1 KST may suspend or terminate your account, Village Partner status, or Producer access immediately, with or without notice, if you breach these Terms or the Village Partner Agreement or Producer Agreement (as applicable).
  • 16.2 Upon termination: (a) your access to all Content will cease immediately; (b) any unused PPV purchases or KST credits will be forfeited without refund; (c) Village Partners must immediately stop using all KST software on deployed devices; (d) Producers’ Content may be removed from the Platform within 30 days of termination of the Producer Agreement.
  • 16.3 You may voluntarily close your account by contacting support@kissashurutalkies.com. If you have outstanding credits or active PPV purchases, they will be forfeited.
17.
Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE KST PLATFORM, KST STICK, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. KST DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. KST DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK. KST EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE KST PLATFORM, KST STICK, OR CONTENT, EVEN IF KST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL KST’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PPV TRANSACTION OR SERVICE GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY KST’S GROSS NEGLIGENCE OR FRAUD.

Indemnification

You agree to indemnify, defend, and hold harmless KST, its partners, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the KST Platform or KST Stick; (b) your breach of these Terms; (c) your violation of any applicable law or third-party right; or (d) any Content you submit or transmit through the Platform.

Privacy Policy

Your use of the KST Platform is also governed by KST’s Privacy Policy, available at www.kissa.in/privacy. The Privacy Policy explains how KST collects, uses, stores, and shares your personal information, including GPS data, device identifiers, and payment information. By using the KST Platform, you consent to the practices described in the Privacy Policy.

21.
Governing Law and Dispute Resolution
  • 21.1 These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
  • 21.2 Any dispute arising out of or relating to these Terms or your use of the KST Platform shall be subject to the exclusive jurisdiction of the courts in Nashik, Maharashtra, India.
  • 21.3 Before initiating any legal proceedings, both parties agree to attempt in good faith to resolve any dispute informally by contacting KST at support@kissashurutalkies.com with a written description of the issue. KST will respond within 14 days.
  • 21.4 Class actions and representative proceedings are not permitted to the extent allowed under applicable Indian law. Each party may bring claims against the other only in their individual capacity.

Amendments

KST reserves the right to modify these Terms at any time. The updated Terms will be published on www.kissa.in/terms and the KST App. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

23.
Miscellaneous
  • 23.1 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • 23.2 Waiver: KST’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • 23.3 Assignment: You may not assign or transfer your rights or obligations under these Terms without KST’s prior written consent. KST may assign these Terms without restriction.
  • 23.4 Entire Agreement: These Terms, together with the Privacy Policy, Village Partner Agreement (if applicable), and Producer Agreement (if applicable), constitute the entire agreement between you and KST relating to the subject matter hereof.
  • 23.5 Force Majeure: KST shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, internet outages, government actions, or power failures.
  • 23.6 Language: These Terms are provided in the English language. Where a Marathi translation is provided, the English version shall prevail in case of any inconsistency.
